1. Who these terms are between
These terms are between SpokenStock Ltd, a company registered in England and Wales (company number 17320502, registered office The Granary Guileshill Lane, Ockham, Woking, England, GU23 6NG) and you, the organisation using the SpokenStock service. Use of the service is also governed by any separate service or trial agreement and Data Processing Agreement signed between us; where they differ, the signed agreement wins.
2. The service
SpokenStock is a voice-based stock-taking application for hospitality businesses. Access is invite-only. You are responsible for your users’ accounts, for the accuracy of the stock lists and counts you enter, and for the decisions you make using the output.
3. Acceptable use
You agree not to misuse the service: no unlawful use, no attempt to breach security or access another organisation’s data, no reverse engineering, and no automated bulk access beyond normal use. We may suspend access to protect the service or other customers.
4. Support
We provide support by email at joe@spokenstock.com during UK business hours (Monday to Friday, excluding public holidays). We aim to acknowledge support requests within one business day and to resolve issues within a reasonable time. This is a reasonable-endeavours commitment, not a guaranteed service level; any specific service-level terms would be set out in a separate signed agreement.
5. Availability
We work to keep the service available and reliable, but we do not guarantee uninterrupted availability. The service may occasionally be unavailable for maintenance, updates, or reasons outside our control (including failures at third-party providers).
6. Data protection
How we handle personal data is described in our Privacy Policy. Where we process personal data on your behalf (for example your staff’s data during a count), we do so under a Data Processing Agreement, and you remain the data controller for that data.
7. Fees
Fees are set out in your service agreement and are stated exclusive of VAT, which is added where applicable.
8. Intellectual property
SpokenStock Ltd owns all intellectual property in the software and service. You own your own data (your stock lists, counts, and records), and you grant us only the permission needed to provide the service to you.
9. Liability
Nothing in these terms limits liability that cannot lawfully be limited (such as for death or personal injury caused by negligence, or fraud). Subject to that, and to any different cap agreed in a signed agreement, we are not liable for indirect or consequential loss, and our total liability is limited as set out in your service agreement. SpokenStock supports your stock-taking process; it does not replace your own commercial judgement, controls, or your existing purchasing and variance systems.
10. Term and changes
Either party may end the arrangement in line with the signed agreement (or, absent one, on reasonable notice). We may update these terms; the current version always lives at this address, with the date shown above.
11. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
